Industry Growth and Industry Outlook

If you are looking at Shiprocket from a long-term business perspective, I think this industry growth is an important context to keep in mind because it shows the size of the opportunity the company is trying to capture.

As of CY 2025, online retail contributed approximately 8% of the total retail GMV. This share is projected to increase to around 14-15% by CY 2030, growing at a CAGR of 20-25%

Company Financials

  • The Total Assets (everything the company owns, such as land, machines, cash, and materials) have shown steady growth over the last three years, driven by business expansion, increase in trade receivables, other financial assets, property, plant & equipment, right-of-use assets and other current assets. Total Assets stood at ₹25,047.68 million as at March 31, 2026 (up from ₹23,086.22 million as at March 31, 2025, and ₹20,512.18 million as at March 31, 2024).

  • The Total Income (money earned from main business plus any other income) has shown strong year-on-year growth, reflecting higher shipping volumes and expanding merchant base. Total Income stood at ₹20,774.21 million for Fiscal 2026 (up from ₹16,748.21 million in Fiscal 2025 and ₹13,578.33 million in Fiscal 2024).

  • The Profit After Tax (final profit left after paying all costs and taxes) stood at (₹792.45) million for Fiscal 2026 (compared to (₹744.49) million in Fiscal 2025 and (₹5,951.81) million in Fiscal 2024).

  • The EBITDA (operating profit before deducting interest, taxes, and asset wear-and-tear costs) remained negative but improved substantially from Fiscal 2024 levels. EBITDA stood at (₹165.55) million for Fiscal 2026 (compared to (₹171.60) million in Fiscal 2025 and (₹4,958.89) million in Fiscal 2024).

  • The Net Worth (total value belonging to the owners/shareholders of the company) has shown consistent growth, supported by capital raises and share premium. Net Worth stood at ₹15,243.11 million as at March 31, 2026 (up from ₹14,912.51 million as at March 31, 2025, and ₹12,861.77 million as at March 31, 2024).

  • The Total Borrowings (total loans and debt taken by the company) have remained relatively stable. Total Borrowings stood at ₹2,420.12 million as at March 31, 2026 (down slightly from ₹2,446.65 million as at March 31, 2025, and up from ₹2,132.75 million as at March 31, 2024).

For me, the financial picture should not be judged only by the growth in income. If you are evaluating the IPO, the continuing losses, improving EBITDA position, net worth, borrowings, and cash-flow trend should be looked at together rather than in isolation.

Revenue Bifurcation and How the Company Makes Money

If you want to understand how Shiprocket actually makes money, one important point is that it is an e-commerce enablement platform rather than a company selling products directly to end consumers. Instead, it provides technology and logistics solutions to Merchants (mainly MSMEs, D2C brands, and large retailers) so that they can sell online and deliver goods to their customers.

Valuation

  • The Return on Capital Employed (ROCE), which measures the Company’s efficiency in generating returns from the capital employed in the business, stood at (2.65)% for the year ended March 31, 2026.

  • The Return on Net Worth (RoNW), which measures the Company’s ability to generate profit from its net worth, stood at (5.20)% for the year ended March 31, 2026. It was (4.99)% for the year ended March 31, 2025 and (46.13)% for the year ended March 31, 2024. The improvement in RoNW over the three years primarily reflects the significant reduction in Restated Loss for the year (from ₹5,924.13 million in Fiscal 2024 to ₹792.45 million in Fiscal 2026), even as Net Worth continued to grow.

Is Valuation Expensive?

This is where I would avoid looking at the valuation without considering profitability. The valuation is not extremely expensive on a revenue multiple basis relative to larger peers, but it does not offer a deep discount either, given that the company is still loss-making and has negative return ratios (ROCE and RoNW). If you are considering applying, the key question is whether the company’s future growth and improving financial profile justify the valuation you are being asked to pay.

Evaluation of P/E Ratio

Considering the period ended FY 2026 with an EPS of Rs. (1.23) from the last year, the resulting P/E ratio is NA.

IPO's Strengths/ Bull Case

If I look at the positive side of the issue, these are the factors that stand out:

  • Market Leadership

  • Scalable Model

  • Financial Improvement.

IPO's Weaknesses/ Bear Case

On the other hand, you should not look at the growth story without considering these risks:

  • The company has reported restated periodic net losses and relies heavily on external vendors and partners.

  • Intense Competition: Faces heavy competition from established traditional logistics players and emerging tech logistics platforms.

  • External Dependency.

Future Opportunities

  • Consumer preferences and market expansion

  • Supportive ecosystem

  • Direct commerce, omni-channel, and export opportunities.

Shiprocket IPO GMP (Grey Market Premium)

If you are tracking short-term market sentiment around the issue, GMP is one indicator you may be watching. I would still treat it as a sentiment indicator rather than the only reason to apply.

Shiprocket IPO GMP today is Rs. 14 as of 08 Aug 2026, while writing this information. With the upper price band of Rs. 97, Shiprocket IPO's estimated listing price is Rs. 111. The expected listing gain/loss per share is 14.43%.

Details of anchor participation (if any) would be available in filings; pre-IPO investors include entities like Anchorage Capital and Baring PE.

Shiprocket IPO Lesser Known Facts

This is a section I would not skip if you are seriously evaluating the issue, because these details provide context that may not be obvious from the headline IPO numbers.

  • Brijesh Kumar Agrawal (Director) – Two cases related to IndiaMART (one is under a quashing petition in the High Court).

  • Kaushik Dutta – Old Legal Metrology case pending since 2016.

  • Saahil Goel – FIR filed in Amravati (August 2025) under the Arms Act related to a parcel containing a dangerous weapon delivered through Blue Dart. A quashing petition is pending in the Bombay High Court.

  • Despite building many new products (Fulfilment, Cross-border, Ads, Checkout, Fintech, etc.), the Core Business (Domestic Shipping + Shipping Apps) still contributed 73.38% of total revenue in Fiscal 2026.

  • Co-founders Saahil Goel and Gautam Kapoor have a weighted average cost of acquisition of only ₹0.28 per share, while Vishesh Khurana’s cost is ₹0.27 per share. This means they are sitting on multi-hundred times returns on the shares they are selling in the Offer for Sale.

  • Shiprocket is one of the rare large IPOs in India that has no identifiable promoter. It is classified as a professionally managed company. Because of this, there is no minimum promoter contribution and no 18-month lock-in that normally applies to promoter shares.

Should You Apply for Shiprocket IPO?

If you are asking whether you should apply, I would not base the decision on GMP or growth numbers alone. I would look at the improving business scale and operating cash flow alongside the fact that the company is still loss-making and has negative return ratios. Review the full RHP, latest GMP, subscription trends, and the company’s risks and valuation together before taking any decision, and consult SEBI-registered professionals where required.

Your conclusion can be different from another investor’s because scale, valuation, risks, and opportunities may matter differently depending on your investment objective.

Conclusion

From my reading of the information above, Shiprocket IPO gives you exposure to a leading e-commerce enablement platform with strong revenue growth, improving operating cash flow, and a scalable technology-led business model. At the same time, I would not look at the growth story alone.

Shiprocket IPO offers exposure to a leading e-commerce enablement platform with strong revenue growth, improving operating cash flow, and a scalable technology-led business model. However, the company remains loss-making, has negative ROCE and RoNW, and faces intense competition and dependence on external partners.
